Duly Coded LLC is a small, solo studio run by one engineer in Long Beach, California. These terms are written to be read by actual humans, so they're intentionally short and plain. They cover how I work, what you can expect, and a few sensible ground rules. By using this site or working with Duly Coded, you're agreeing to what's below.
Duly Coded LLC is a one-person software studio offering digital products and selective consulting. Because it's a solo studio, scope and availability are limited by design — I take on work I can do well rather than as much as possible. Anything we agree to for a specific engagement (a proposal, statement of work, or written agreement) will spell out the details for that project, and those specifics take priority over these general terms where they differ.
I provide services and products in good faith and do my honest best on every engagement. That said, consulting and software work are provided “as is.” I can't guarantee any specific business result — revenue, rankings, growth, uptime of systems I don't control, or outcomes that depend on factors beyond the work itself. To the extent the law allows, Duly Coded isn't liable for indirect or consequential losses, and any liability is limited to the amount you paid for the work in question.
The default is simple and fair: once you've paid in full for a project, you own the work product I deliver specifically for you — the code, designs, and deliverables built for your engagement.
Duly Coded keeps ownership of its own pre-existing tools, libraries, know-how, and general techniques that I bring to the table and reuse across clients. Where those are part of what I deliver, you get a license to keep using them as part of your project. Third-party and open-source components remain under their own licenses. Until a project is paid in full, ownership of the new work stays with Duly Coded.

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any disputes will be handled under California law.
